Secretary
– Uganda Ltd. is part of GROUPE BANK OF AFRICA (BOA) comprising 16 Commercial
Banks, 3 Leasing Companies, 2 Investment Companies, a Stock Brokerage Company,
an Asset Management Company and a Mortgage Bank. It spans 16 African countries
and France, employing over 5,000 people.
Manager will ensure a sound Legal Framework for the Bank by offering in-house
Legal advisory services, efficient management of the Legal department and
support to management and the Bank on Legal Risk generally including but not
limited to contractual, credit, litigation, regulatory and statutory risks.
Receive instructions, peruse files and assess the
merits and demerits of each case and related circumstances;
Conduct legal research to enhance and boost success
rates on legal cases for and against the Bank;
Manage/handle threatened litigation notices, debt
recovery and the legal cases for and against the Bank;
Attend and represent the Bank in courts of law;
Actively monitor external legal services and ensure
effective representation of the Bank in courts of law;
Attend and provide input to credit recovery and
disciplinary committee meetings on behalf of the legal department;
Prepare opinion memos for the Company Secretary to
peruse and advise;
Continuously monitor compliance with statutory
obligations and advise management accordingly;
Work closely with relevant departments to ensure
that where legal risks have been identified, appropriate courses of action have
been taken;
Offer timely support in contract negotiations,
reviews and drafting and providing recourse options especially for
non-performing contractors;
Prepare monthly and quarterly reports relating to
the department for the Company Secretary for use in Board and Executive
management meetings;
Provide legal advisory services to the branches,
departments and management;
Regularly review credit offer letters, witness
credit documentation and advise the
credit approving body on the legal status of proposed credit security and any
other legal issues;
Provide continuous leadership, supervision, training
and development of department staff ensuring an effective and motivated team;
Support the Company Secretary in day to day
regulatory Legal or Board issues where need be;
Perform any other duty incidental to the above.
Experience:
The applicant for the aforementioned Banking job
must hold an LLB undergraduate degree, a diploma in legal practice and in
possession of a valid practicing certificate. Applicants with Master’s degrees
will have an added advantage;
The applicant must be an Advocate of the High Court
of Uganda for at least four years and with working experience gained from a
financial institution, corporate company or a busy law firm that majorly
handles banking related cases.
Strong leadership and managerial skills;
Excellent relationship management and communication
skills;
Demonstrate knowledge of, and experience with, laws
dealing with government and/or commercial contract administration, particularly
contract negotiation, preparation and administration;
Ability to provide independent advice (orally and in
writing) to senior level management on highly technical matters;
Proven ability to delicately solve sensitive matters
Prior experience of having worked in a Financial
Institution is an added advantage.
