Job Summary: The Senior Legal Officer (Legal Affairs) is responsible for advising on a broad range of legal functions related to contracts, transactions, and strategic advisory, as well as legal and disciplinary issues, conducting internal investigations, and managing disputes related to employee conduct, ethics, and performance.
Key Duties and Responsibilities:
- Contract Preparation & Negotiation: Draft, review, and negotiate a wide range of commercial contracts, including sales, service, procurement, partnership, and joint venture agreements. Ensure contracts are legally sound, enforceable, and aligned with company policies, regulatory standards, and business goals. Provide legal advice on contract terms, obligations, risks, and opportunities.
- Transaction Advisory: Support the organization in key business transactions, including mergers, acquisitions, joint ventures, and corporate restructuring. Collaborate with internal teams and external advisors to assess legal risks and ensure that all transaction documentation is in place. Conduct legal due diligence for potential acquisitions and investments. Advise on legal aspects of transaction structures, financing arrangements, and post-deal integration.
- Dispute Resolution and Litigation Management: Represent the company in negotiations, mediations, and settlements. Manage litigation and dispute resolution processes, working with external counsel where necessary. Oversee legal proceedings, monitor case progress, and provide strategic guidance on case handling.
- Legal Advisory and Disciplinary Matters: Provide expert legal advice on all matters related to employee conduct, disciplinary actions, terminations, and grievances. Advise the Human Resources function and senior management on legal aspects of employee performance, misconduct, and disciplinary procedures. Ensure compliance with employment laws, labor regulations, and internal policies related to discipline and employee conduct.
- Investigation and Case Management: Lead and conduct investigations into alleged employee misconduct, ethical violations, harassment, or policy breaches. Ensure that investigations are conducted impartially, confidentially, and in a legally compliant manner. Develop reports and recommendations based on findings from investigations and propose suitable disciplinary actions.
- Disciplinary Processes: Oversee the organization’s disciplinary process, ensuring that all actions are compliant with legal standards and organizational policies. Prepare documentation and provide support during disciplinary hearings, including guiding managers on procedural fairness. Ensure that disciplinary actions are consistent, fair, and proportionate to the alleged violations.
- Any other duties assigned by the immediate supervisor: Perform additional tasks as required to support the Legal Affairs department and the organization.
Qualifications, Skills and Experience:
Education Background
- Bachelor’s Degree in Law (LLB) from a recognized institution.
- Postgraduate Diploma in Legal Practice (Bar Course) from the Law Development Center.
- Admission to the Bar in Uganda with a valid practicing certificate.
- Membership to a relevant professional body in good standing.
- Advanced University Degree (Masters Degree or equivalent) in Law (LLM) or related field is an added advantage.
Experience
- The applicant should have a General Working Experience of at least two (2) years of progressively responsible experience in legal advisory.
- The applicant should have served in an Officer Position in an automotive or manufacturing sector for at least one (1) year.
- Proven track record in managing Legal Affairs.
Skills
- Strong understanding of the laws governing manufacturing and intellectual property.
- Excellent negotiation, drafting, and analytical skills.
- Effective communication and interpersonal skills to work with diverse stakeholders.
- Leadership and team management abilities.
Preferred Skills
- Knowledge of international trade laws and cross-border regulatory requirements.
- Experience in alternative dispute resolution (ADR) mechanisms.
- Exposure to mergers, acquisitions, and corporate restructuring within the industry.
