Job Summary: To guide and support on MTN Uganda’s commercial legal and governance portfolio.
Key Duties and Responsibilities:
- Negotiating, drafting and/or review of contracts, and providing advice on implications of contractual terms from a legal and risk management perspective.
- Advising on legal and compliance matters based on applicable laws including employment laws.
- Advising on corporate governance legal requirements and best practice.
- Tracking and advising on compliance with corporate policies, constitutional documents, board mandate and terms of reference, and amendment of such documents for compliance with applicable laws and recommended governance practice.
- Preparing and filing statutory notifications and documents.
- Providing necessary support with respect to all board administration and shareholder meeting activities.
Key Performance Areas (Smart)
- Ensure compliance with internal and statutory governance requirements.
- Support the operational teams with reference to managing the company’s commercial contracting portfolio.
Qualifications, Skills and Experience:
Education
- Bachelor of Laws degree from a recognised university in Uganda.
- Postgraduate Diploma in Legal Practice (Bar course qualification) from the Law Development Centre, Uganda.
Work Experience
- Minimum of 3 years’ work experience in a legal role, with at least 2 years spent in a busy commercial law firm or an in-house legal role in a reputable organization in the private sector.
- Demonstrable experience in providing governance support including ensuring compliance with statutory governance requirements.
- Demonstrable experience in handling legal advisory aspects related to contract management (including contract negotiation and drafting).
Competencies
- Strong technical skills with respect to appreciation and application of the law and business communication (oral and written), and ability to deliver high-quality first-draft work product.
- Strong interpersonal skills and commitment to continuous improvement and learning.
- Ability to balance working independently with collaborating effectively with a team.
- Strong organizational skills and detail oriented.
