Job Summary: To provide legal advice and guidance, managing the Client’s legal matters, and ensuring compliance with all applicable laws and regulations.

Key Duties and Responsibilities:
Contract Management through the Dili Trust and Tarantula Property Management Tools:
- Oversee the entire contract lifecycle, including drafting, reviewing, negotiating, and managing all company contracts including Suppliers, Service Providers, Landlords, MNO customers among others.
- Ensure all contracts comply with approved Axian Group company policies, legal standards, and regulatory requirements.
- Maintain a centralized repository for all contractual documents and records in the DiliTrust portal and Tarantula portals.
Legal Compliance Monitoring:
- Develop and implement compliance programs to monitor adherence to contractual obligations including but not limited to Anti-Money Laundering/CFT, KYC obligations, Anti-Bribery and Corruption, Group Gift Policy, Whistleblowing, Conflict of Interest declarations among many others.
- Conduct regular audits of contracts to ensure compliance with terms and conditions both contractual and from an approved policy perspective.
- Identify and address potential compliance issues or risks associated with all company contracts.
Legal Policy Development with Group Compliance Officer:
- Work together with the Group Compliance Officer to develop, update, and enforce internal policies and procedures related to contract management and compliance.
- Provide guidance and regular training to staff on contract compliance policies and best practices.
External Legal Services and Litigation:
- Ensure the business operates within the industry’s legal and regulatory compliance framework.
- Advise on strategy of dealing with ministries, regulatory and other authorities and meet and confer with such authorities where required.
- Lead stakeholder engagement with TCRA & the responsible Ministry of ICT and any other key stakeholders in the regulatory environment.
Legal Risk Management:
- Keep the Board, the CEO, and members of the management team informed and updated on legislative matters relating to responsibilities and duties relating to regulatory and compliance.
- Identify potential risks in contractual agreements and develop strategies to mitigate those risks.
- Ensure timely resolution of compliance-related issues and disputes.
- Collaborate with legal and risk management teams to address and resolve contract compliance matters.
Reporting and Documentation:
- Prepare and present regular reports on contract compliance status and activities to senior management.
- Maintain accurate and up-to-date records of all compliance activities and findings.
Stakeholder Collaboration:
- Work closely with internal stakeholders, including legal, finance, procurement, and operations teams, to ensure contract compliance.
- Liaise with external parties such as clients, vendors, and regulatory bodies to resolve compliance-related matters.
Training and Development:
- Conduct training sessions for employees on contract compliance requirements and best practices as directed and advised by the Group Compliance team.
- Stay updated on industry trends, legal developments, and regulatory changes affecting contract compliance.

Education and experience:
- Uganda Law degree required. Admission to the Uganda Bar is an added advantage.
- Minimum 8 years PQE serving as a corporate, real estate and transactional attorney.
- Prior experience working for UK, EU, or US-based law firms, or legal education in the US, South Africa, UK, would be a plus.
- Prior real estate law, telecom/carrier and/or mergers & acquisitions experience especially helpful.

KPIs & Quality Standards
- Contracts & Documentation
- Drafting of all Standard Company Contracts from Landlord Leases, Commercial Documentation with customers (MTSA), Supplier Contracts, and O&M Agreements. Development of standard templates
- Maintenance and Custody of all Company Information, Executed Documents, and Maintenance of approved registers for all documents and information including but not limited to the Siterra system
- Take the lead in all contractual negotiations that bind the Company. Ensure minimal legal risk and exposure both in the short term and long term and in line with an approved business plan
- Regulatory Compliance
- Taking lead and management of the Company’s relationship with the Uganda Communications Commission. Monthly reporting to the UCC and annual compliance license /compliance review
- Taking the lead and management of the Company’s relationship with the National Environment Management Authority Ensure all sites are built with a valid NEMA Certificate + Annual Audits
- Taking the lead and management of the Company’s relationship with the Civil Aviation Authority Ensure all sites are built with a valid CAA permit
- Managing the company registration information at the Uganda Registration Services Bureau. All company information is up-to-date and annual returns are filed on time
- Litigation
- Management of all litigation cases and protecting the Company from any losses. Early settlement of cases and with minimum exposure
- Taking the lead in due diligence exercises as and when they arise. Negotiation good rates and fees for external law firms in line with budget requirements
- Legal Risk Management
- Advising the Senior Management, on risk exposure in the day-to-day management of the Company. Updated laws and regulatory issues that could affect the Company’s operations
- Providing legal advisory services to different departments especially property/acquisition, supply chain and commercial teams Open door policy for day-to-day advisory for all work streams
- Providing legal advisory services to the Finance team in debt collection, contract management, debt & equity raise processes with local and international bans Knowledge of Corporate Finance law and investment advisory
- All staff are informed and trained in the developments in the Company Compliance Programs such as Anti-Bribery and Corruption Policies, Health & Safety Policies and Employment Manual. All staff are appraised of the Policies as approved by the Group and are required to have complete knowledge and regular training at least twice a year.
