Job Summary: To oversee and manage all legal aspects of the company’s operations, ensuring compliance with relevant laws and regulations. This involves ensuring the company’s adherence to legal requirements, safeguarding its interests through proficient management of all legal affairs, and mitigating legal risks to protect the company’s interests.
Key Duties and Responsibilities:
- Develop and implement legal strategies to protect the company’s interests and mitigate legal risks.
- Draft precise corporate legal documents and compile comprehensive case notes for review by the Regional Head of Legal & Compliance.
- Analyze and articulate legal ramifications on business operations and services offered.
- Assist the Regional Head of Legal & Compliance in providing corporate secretarial and regulatory services, including preparing materials for board and committee meetings and regulatory filings.
- Conduct in-depth research on relevant statutes, rulings, and precedents to inform legal opinions and briefs.
- Serve as the custodian of company contracts and legal documents, ensuring their currency and enforceability.
- Contribute valuable insights to contract management and deal formulation.
- Review corporate documents, resolutions, service agreements, and other pertinent materials.
- Facilitate communication with external parties on legal matters and maintain strong relationships with external lawyers.
- Prepare necessary documentation for statutory reports and recommend swift resolutions to legal issues to mitigate litigation risks.
- Attend court proceedings as required and liaise with regulatory authorities as necessary.
- Assist in reviewing company policies, procedures, governance documents, and intellectual property protection strategies.
- Maintain meticulous organization of legal documentation within the department and prepare monthly legal reports for Country and Regional Management.
- Provide legal advice and support to management on a wide range of legal issues.
- Draft, review, and negotiate contracts, agreements, and other legal documents.
- Ensure compliance with all relevant laws, regulations, and company policies.
- Manage legal disputes, including liaising with external counsel and representing the company in court or alternative dispute resolution proceedings.
- Conduct legal research and analysis to keep abreast of legal developments and provide proactive advice to the business.
- Collaborate with other departments to ensure legal compliance and best practices across the organization.
- Manage relationships with external legal advisors and service providers.
Qualifications, Skills and Experience:
Education
- Minimum Qualification: A Bachelor of Laws degree or its equivalent from a recognized University
- Advocate of the High Court of Uganda
- Professional certifications such as:
- CPS qualification will be an added advantage.
- Current Practicing Certificate
Experience:
- 4 years’ experience in a Corporate (technology field preferred) legal environment 2 years of which should be in a financial institution.
