Job Summary: The Manager Legal is charged with the major responsibility of providing legal support to all other units/departments of the Bank
Key Duties and Responsibilities:
- Provide oversight and leadership to the Legal Officers.
- Represent the Bank internally and externally in negotiations, disputes, consultations and other legal proceedings instituted by and against the Bank.
- Monitor external legal services in order to ensure effective representation of the Bank in the Courts of law.
- Draft, review and renew contracts between the Bank and the various service providers and advise on the suitability of the clauses therein.
- Ensure that stamp duty is paid on all contracts and proof thereof maintained prior to being properly filed in fire proof cabinets.
- Follow up with the Bank’s external lawyers to ensure that the Bank is well represented in the Courts of law and that securities are perfected in a timely manner.
- Provide legal advice to management and staff in all areas of the Bank’s activities with a view to minimizing legal risk.
- Review legal documentation prepared for the Bank or arising from the work of the Bank.
- Assist the Board Secretary in the execution of his duties as and when required;
- Follow up with the external lawyers handling securities perfection on instructions given to ensure that the stipulated turnaround time lines are satisfied.
- Support the credit department in handling loan take over processes including issuing letters of undertakings and following up on release of securities to purchasing banks.
- Provide legal advice to support business operations on legal matters relating to among others account opening and operations in a bid to ensure that they are in accordance with the Company Laws and Procedures.
- Monitoring changes in relevant legislation and the regulatory environment, and taking appropriate action. Researching and submitting legal opinions concerning security documentation, real estate development, government regulations and new regulations and trends affecting the organization, including but not limited to staff training.
- Perform any other duties assigned by the supervisor.
Qualifications, Skills and Experience:
- A Diploma in legal practice.
- A Bachelor’s Degree in Law.
- A good understanding of Bank Policies and Procedures.
- A good understanding of Bank products and services.
- Knowledge of banking operations.
- Experience: Minimum of 3 years’ working experience.
