sustainable financial interventions in line with the country’s development priorities.

Job Summary:   The Senior Legal Officer – Board Affairs shall
provide support to the bank’s governance process, contracting process and
document review. The Senior Legal Officer – Board Affairs will support the
Legal team with filing and maintenance of the Bank’s statutory registers,
minute and resolution preparation, management of the Bank’s common seal,
coordination of management meetings, document review and preparation of
relevant Agreements.

Key Duties and Responsibilities:  

·       
Ensure safe custody, maintenance and proper
usage of the Bank’s Common Seal.

·       
Maintenance of the statutory registers and
records of the Bank including the register of members and their shareholdings,
all transfers, the Directors and Secretary (Shareholder Register) plus queries
that may arise, payment of dividends and any new share issues.

·       
Ensure timely registration of documents required
for filing by Law including Annual Returns, Board Resolutions, Notification of
change of directors and secretary

·       
Maintain the Minute Book.

·       
Assist the Company Secretary/Head Legal Services
in preparation for the Annual General Meeting.

·       
Assist the Company Secretary/Head Legal Services
with dissemination of information and/ Extracts from the Board to Management.

·       
Assist the Company Secretary in preparation of
correspondences to various stakeholders.

·       
Assist with the preparation, drafting and
circulation of Board Committee Meetings, minutes and Extracts respectively in a
timely manner.

·       
Coordinate and act as Secretary to relevant
Management Committee meetings.

·       
Assist the Company Secretary in preparation for
Directors’ training and Induction.

·       
Preparation and review of the Bank’s Legal
Agreements.

·       
Any other duties as may be assigned from time to
time.

Qualifications, Skills and Experience:

·       
The applicant must an LLB (Hon) Degree in Law
plus a post graduate Diploma in Legal Practice.

·       
The Applicant Must be an Advocate of High Court
of Uganda

·       
Any related post-graduate qualification is an added
advantage.

·       
Possession of an ICSA membership is an added
advantage,

·       
At least five years of post qualification
experience including 2 years in governance in a reputable law firm or busy
in-house legal department.

·       
Familiarity with Law relating to financial
Institutions and its application.

·       
Work experience in applicability of best
practice to corporate governance standards

·       
Competencies  Must
be proactive, results oriented, flexible with ability to multitask and meet
deadlines.

·       
Knowledge and applicability of Corporate
Governance standards

·       
Excellent Interpersonal communication (verbal
and written)

·       
Ability to cope with high levels of
responsibility and confidentiality.

·       
Computer Literacy
