DFCU Limited was started by the Commonwealth Development Corporation (CDC) of
the United Kingdom and the Government of Uganda through the Uganda Development
Corporation (UDC) under the name of Development Finance Company of Uganda Limited.
Later restructuring brought in DEG (of Germany) and International Finance
Corporation (IFC) as equal partners with CDC and UDC, each having a 25% stake
in the company. Its objective was to support long-term development projects
whose financing needs and risk did not appeal to the then existing financial
commercial lending institutions.
Job Summary: The Legal Officer – Litigation is mainly responsible
for providing legal support to various functions of Bank including litigation,
debt recovery, contract and general legal advisory services
Key Duties and Responsibilities:
- Receive accounts from Credit Department’s Recovery Unit of clients
that have failed to pay with a view of placing a final legal demand to the
client before repossession of our leased asset(s) and or commencement of
the realization process of the security. - Meeting with defaulters that respond to legal final demands to
ensure that all legal formalities for recovery of a debt are complied with
and to find an easier way of recovering debt without any legal opposition. - Legal investigation to establish whether there are any bottlenecks
that will hinder the recovery process subsequent to placing of a final
legal demand. - Appointment of auctioneers and receivers, and monitor such person
appointed to ensure that as they perform their task the proper legal
procedures for eviction, disposal and realization of security are complied
with. - Receiving all court process (notices to sue, summons, pleadings)
filed against dfcu Bank to avoid receiving pleadings that are not properly
served as required by the Law. - Attend Court where dfcu Bank is sued or is suing as a representative
of the Company and ensure proper legal representation by external Counsel
and further provide clarity to Court matters that appear unclear in the
deal structuring and other matters as Court may desire to arrive at a good
judgment. - Monitoring external law firms to ensure that timelines for filing
defenses or replies as set by the Law are met. Regularly meet with the
firms to agree on strategy as to how the matter shall be conducted to
achieve desired results. - Maintain good rapport with all Legal Counsel to develop a strategy
and common understanding on how to execute instructions of the Bank in an
efficient, cost effective and timely manner to ensure timely and
cost-effective means of resolution of disputes.
Qualifications, Skills and Experience:
- The applicant for the DFCU Bank Legal Officer – Litigation placement
must hold a University degree in Law. - Postgraduate Diploma in Legal Practice.
- Enrolled Advocate of the High Court & all Courts subordinate
thereto. - Four years of experience in a law firm
- Knowledge in Finance is an added advantage.
- Good grasp and in-depth knowledge of the principles and laws
governing Banking & Corporate Law, Leasing/Asset Finance, Laws
governing Land & Mortgages among others. - Good grasp of the Civil Procedure Act and Rules to ably guide
external Lawyers on how to best represent the Bank. - Knowledge of the law and best practice on repossession, realization
security and receiverships. - Exposure of working in a busy private law firm handling Litigation
and recoveries matters. - Ability to negotiate, articulate and make a case for dfcu when the
Bank is sued or intends to sue. - Good legal research skills.
- Ability to identify potential litigation matters and advise on how
to avert court action and if inevitable, develop a strategy for a good
defense. - Computer literacy in Word, Excel and other applications incidental
thereto.
