Job Summary: The Company Secretary will be responsible for
ensuring that the Company complies with all regulatory and best corporate
governance requirements. In addition s/he will be charged with overseeing the
smooth operation of board meetings and annual general meetings, and will also
record, draft and distribute minutes of the Board and committee meetings giving
special attention to sensitive issues that require careful treatment. The
position reports to the Board.

Key Duties and Responsibilities:
- Provide leadership in the legal sector of the Company, including
compliance with corporate governance, state laws, procedures, policies,
practices and systems - Monitor changes in relevant legislation and the regulatory
environment and take appropriate action - Prepare and submit periodic reports and ensure timely communication
and information dissemination to the Directors and other stakeholders as
required - Ensure proper custody of the Company’s legal documents
- Certify officer signatures, affix the corporate seal to various
company documents, and attest to their legitimacy - Liaise with external regulators and advisers
Qualifications, Skills and Experience:
- The applicant must hold a Bachelor’s degree in Law
- Possession of a PGD in Legal Practice and ICSA is a must; an MBA
will be an added advantage - A minimum of five years of legal and compliance management
experience in a regulated environment - Broad knowledge and understanding of compliance obligations of
listed companies in Uganda will be an added advantage - Excellent oral and written communication skills
