The National Social
Security Fund (NSSF) is a Provident Fund mandated to provide social security to
its members as prescribed by law under CAP 222 (Laws of Uganda) through
efficient management of members’ contributions. The NSSF asset base is
currently over Ugx. 9.8 trillion, making the Fund one of the largest
players in Uganda’s economy.

Key Duties and Responsibilities:
- The Head of Legal & Board Affairs –
Corporation Secretary prepares and/or review Board papers from other
business units for quality assurance for Board and Committee meetings. - Work in close consultation with Chairman
and MD, prepares a schedule and an agenda for Board and committee
meetings. Reviews agenda for Board and Committee meetings and issue
notices of meetings. - Advise the Board on legal, regulatory
and corporate issues affecting the Fund. - Extract Board resolutions and action
points for business units and forward these to the Managing Director for
dissemination to ExCo and external parties. - Prepare Action reports for reporting
back to the Board on the progress of implementation of Board resolutions. - Take minutes of the meetings of the
Board and any of its committees and subcommittees. - Draft correspondence to external parties
emanating from Board decisions for the Chairman or Managing Director’s
approval. - Keep custody of the Funds seal and
ensure that it is properly affixed to Board resolutions and other
documents required under the seal. - Allocate work in the department and
monitor progress, performance, and timely quality of service. - Manage the litigation risk of the Fund.
- Ensure effective representation of the
Fund in courts of Judicature. - Keenly review and approve pleadings for
and against the Fund. - Carry out legal due diligence on
investment, procurement, employment transactions that the Fund intends to
enter into, or such other transactions. - Review due diligence reports and
transaction documents prepared by legal counsel. - Provide proactive legal assistance and
advice on all legal matters pertaining to the Fund’s operations and
business, particularly eligibility to make NSSF contributions,
verification of NSSF benefit claims, interpretation and application of the
NSSF Act, PPDA Act, Employment Act and other relevant legislations. - Assess the relevance and impact of
existing legislation on the Fund’s business with focus on the law relating
to social security, investment, procurement, employment, tax, land,
banking and finance. - Prepare and submit legal and regulatory
compliance reports to the Board of Directors. - Recommend compliance controls to ExCo
and the Audit and Risk Committee. - Ensure that compliance issues are
addressed and corrective actions are taken as appropriate. - Provide leadership in the various
Management and Board committees (ExC0, MIC, PMC, Audit and Risk).
Qualifications, Skills and Experience:
- The applicant for the Head of Legal
& Board Affairs – Corporation Secretary job placement must hold an LLB
(Hon) Degree; - A Masters degree (LLM, MBA) would be an
added advantage - Postgraduate Diploma in Legal practice;
- The jobholder MUST be an Advocate of the
High Court of Uganda. - A recognized management course or ICSA
would be an added advantage. - At least ten years of related work
experience - Outstanding track record of having handled
successful litigations or court cases. - Excellent analytical skills, sound
judgment and collaborative working style with capability to work in
partnership with the Board, MD and other Heads of Department. - High level of personal integrity,
considerable knowledge, experience and competence in managing legal
matters. - Ability to lead and create a motivated
and energized human resource base, with a focus on results-based
performance. - Ability to handle corporate matters
- Intellectual rigour –robust
participation in board debates - Boardroom suite presence –not merely a
“scribe”. - Extensive knowledge and experience in
legal, commercial and business best practices.
