Job Summary:  The Manager, Investor Services will assist the
Head of Operations, Investor Services in business support, change process,
project implementation and other business focused operations with the overall
responsibility of the corporate actions and facility agency section  while ensuring the following:
  • Responsible for identifying and processing corporate actions and
    proxies on behalf of custody clients.
  • This function is accountable for corporate actions events and diary
    management for all asset types (equities, money market and fixed income
    assets), which includes gathering the necessary information to ensure
    processing of such events accurately in both the core banking systems and
    the Securities system, reconciling entitlements pre- and post-payment. The
    Manager is also responsible for ensuring active tracking, interpretation
    and execution of client elections.
  • Facility agency – Ensure complete and accurate documentation is
    held, timely processing of applications & maintenance of accurate
    Register, Interest Calculation & Notification.
  • Review and management of the periodic interest, maturities and
    redemptions payments.
  • External Audit confirmations in liaison with the Asset Servicing
    team
  • Deal with clients telephonically, via SWIFT and e-mail.
  • Ensure all corporate actions are processed according to client’s SLA,
    Market Directives and relevant systems updates
Key Duties and Responsibilities: 
  • Manage timely and accurate periodic interest computation, maturities
    and redemptions for corporate bonds and syndicated loans /notes issued
    where CSB is the Facility Agent and externally where our clients have
    invested.
  • Ensure all Corporate Actions (CAs) and facility agency procedures
    are complied with in accordance with procedure manual.
  • Bring all problems and possible solutions to the Manager’s
    attention.
  • Ensure that an effective diary system is used.
  • Responsible for the review and authorisation of CA events on the
    custody system. This entails communicating with clients, understanding and
    interpreting client elections, authorizing on the system, moving cash
    across different accounts and share allocations.
  • Ensure processing of Proxy Forms for all clients is done within 24
    hours of receipt and confirm delivery of the same to Registrar/ issuing
    companies and or Transfer Secretaries before set deadline.
  • Actively track, interpret and capture all proxy voting instructions
    on the proxy voting spreadsheet In addition capture summarized proxy
    elections on the system.
  • Actively track, interpret and capture all event elections on the
    system.
  • Ensure to communicate all meeting results as announced to the client
    timeously.
  • Ensure reminders are sent to clients on all elective CAs via email,
    placing telephonic reminders to clients and updating the telephonic sheet
    (this also includes explaining the corporate event to the client).
  • Ensure reconciliation of holdings and entitlement per event balances
    to the Central depositories and of balance counters discrepancies
    investigated
  • Ensure CA reconciliation files are balanced and signed off on record
    date and on payment date.
  • Ensure that all entitlements are received and credited to clients on
    payment date.
  • Ensure that all client standing instructions are executed as
    applicable.
  • Prioritize and Plan effectively, have sense of urgency in order to
    meet all deadlines.
  • Ensure that you are aware of your responsibilities i.t.o.  KRA’s and Job descriptions.
  • Ensure that all outstanding issues are followed up conclusively
  • Ensure CA Officers adhere to procedures. Identify and suggest
    amendments where applicable. (Discuss with Head of Operations, IS prior to
    implementation)
  • Ensure all manual controls are followed to ensure no fall outs in
    processing and excess (overdrafts) management


Qualifications, Skills and Experience: 
  • The applicant for the Stanbic Bank Manager, Investor Services job
    should hold a Business related Degree (min – 2nd class upper or
    equivalent) or ACIB qualification
  • Custody Certification
  • In-depth knowledge Investor service Operations –Fiscal and Facility.
  • Knowledge of the Securities Market and related entities viz., NSE,
    Central Depository, Transfer Secretaries, etc.
  • Have a good understanding of all settlement related functions and
    SWIFT
  • Have a good understanding of the various departments within Investor
    Services and knowledge of their interactions
  • Corporate Actions knowledge
  • Basic knowledge of Accounting/Finance
  • Custody background will be an added advantage
  • Computer literacy skills
