Corporate Affairs Officer
Section 42 of the Petroleum (Exploration, Development and Production) Act 2013
and incorporated under the Company’s Act 2012. It is a limited liability
company wholly owned by the Government of Uganda. The overall function of UNOC
is; “To handle the State’s Commercial interests in the Oil and Gas industry.”
Contracts, Negotiations and Advisory will lead negotiating and managing of
contracts as well as advising the Company on all legal matters.
Responsibilities:
- Draft, review and negotiate contracts
and/or agreements on behalf the Uganda National Oil Company (UNOC) and
ensure UNOC achieves the Company’s desired risk allocation position. - Drive contract life cycle from drafting
through completion of negotiation process and/or contract execution - Interpret contracts for all sections of
UNOC, contract managers and where necessary the subsidiaries of UNOC on
contractual responsibilities and risk. - Provide legal advisory services to all
sections of UNOC on all legal matters affecting its business and mandate. - The incumbent will translate complex legal
scenarios into simple language and action plan. - Develop a mentoring programme for junior
staff and provide input into the training and staff development programs
of UNOC. - Develop and execute negotiation strategies
for UNOC in different projects and/or contracts and ensure the relevant
sections are trained and guided in executing the same. - Ensure compliance to company policy in the
negotiation and execution of contracts by UNOC.
Experience:
- The ideal candidate should preferably hold
a master’s degree in petroleum law, policy or management - Hold a bachelor’s degree in law (LLB)
- Hold a diploma in legal practice.
- A minimum of six years’ experience in a
busy corporate entity of high repute. - The Candidate must be an enrolled Advocate
with a valid practicing licence, - Computer literacy skills
- Experience in negotiating oil and gas
large infrastructure or high value projects is relevant - Previous experience in providing advisory
services in a large corporate entity is relevant. - Experience in drafting complex contracts
and managing the lifecycle of the same relevant. - Working knowledge and experience in
analysing and allocating risk in contracts will be an added advantage.
