leading HR Consultancy firm, seeks to recruit for its valuable client, a large
manufacturing company in Uganda with a network across East, Central and
Southern Africa.
Job Summary: The Legal and
Compliance Officer will mainly be responsible for the effective and efficient
management of the legal and compliance function, and ensuring effective
management of legal and contractual risks while also working in liaison with
the company legal consultants.
Key Duties and Responsibilities: 
·        
Maintain a consistent management reporting process
that provides the company with timely and relevant information on all aspects
of compliance issues.
·        
Stay abreast with developments in regulatory
framework impacting the company’s operations, timeously reviewing policy for
conformity.
·        
Be responsible for preparing legal opinions/views on
company affairs and submit these to senior management for consideration.
·        
Maintain proper records of company key documents
including but not limited to statutes, articles of association, memoranda,
contracts etc.
·        
Work closely with the Finance Department to review
and follow up any company debtors.
·        
Management of the Company’s relationship with
relevant government regulatory agencies providing timely responses to
regulatory queries raised by external regulatory agencies, coordination and
management of correspondence and information dissemination to Key relationships
on key regulatory and policy action items within reasonable timelines.
·        
Develop, interpret and regularly review Human
Resources contracts and policies in close coordination with the Human Resource
Manager.
·        
In charge of preparing, reviewing and negotiating
company contracts, requests for proposals and other legal documents.
·        
Be a liaison with the company legal consultants to
set litigation strategy to successfully manage suits and contain costs.
·        
Represent the company in liaison with the company
legal consultants in litigation, arbitration, mediation and regulatory
proceedings relating to the Company’s undertaking.
·        
Identify Potential areas of compliance vulnerability
and risk; Develop/implement corrective action Plans for resolutions of
problematic issues, and provide general guidance on how to avoid or deal with
similar situation in future.
·        
Be responsible for disseminating information on laws
to management to create legal awareness
·        
Collaborate with other departments to asses and
address compliance issues and propose solutions.
·        
Performing such other duties and tasks as directed
by your Supervisor.
Qualifications, Skills and
Experience: 
·        
The Legal and Compliance Officer should preferably
hold an LLB from a recognized University
·        
Possession of a Post Graduate Diploma from the
Ugandan Law Development Centre;
·        
Certificate of Admission to the Roll of Advocates of
the High Court of Uganda with a valid practicing certificate
·        
At least four years’ experience in the area of
criminal and civil litigation, commercial law practice with a good handle of
corporate Law.
