Company Secretary – Uganda Clays Ltd

Uganda Clays Ltd is a
major manufacturer and supplier of clay building products in the Eastern and
Central African Region. The Company wishes to recruit a Company Secretary to be
based at its head offices located at 14km along Entebbe Road, Kajjansi.
Applications are invited from suitably qualified, individuals to fill the post.
The successful applicant will be responsible for overseeing-all Legal and Board
matters at Kajjansi and Kamonkoli factories.
Reporting: The Company Secretary is a top
management position reporting directly to the Managing Director.
Job Purpose: To ensure that the Board of Directors
functions properly and advise on, and ensure implementation of, the legal
matters, policies, systems, plans and procedures.
Job specification:
  1. Be responsible for all legal
    matters such as contracts, insurance, statutory instruments and

    Directors matters such as preparation of memos, calling meetings and
    keeping minutes.
  3. Communicate to management the
    decisions, policies, and laws made by Government, shareholders and the
    Board of Directors and, under the direction of the Managing Director,
    monitor them and ensure their implementation.
  4. Maintain a record of all Company
    Assets and ensure safe custody of all documentations thereto.
  5. Be responsible for the public
    relations of the Company.
  6. Supervise the Purchasing function
    to ensure that the operations are in conformity with the policies of the
  • Should posses a degree in Law and
    a post graduate diploma in legal practice OR be a Member of the Chartered
    Institute of Secretaries and Administrators.
  • Should have a working experience
    of at least eight (5) of which three (3) should be at a senior management
    level handling Company Secretarial work.
Terms: Three (3) year contract, renewable by
mutual consent.
